The name may not contain any word or phrase indicating or implying that the corporation is a governmental agency, or that it is organized for any purpose other than the purpose for which corporations may be organized under the laws of Missouri. The name shall be distinguishable from the name of any domestic or foreign corporation authorized to do business in the State, or any limited partnership, limited liability company, or reserved name filed with the State.

A corporate name need not be in English if written in English letters or Arabic or Roman numerals, and the Certificate of Existence required from foreign corporations need not be in English if it is accompanied by a reasonably authenticated English translation.

Articles of Incorporation containing the information required by State law must be delivered in duplicate to the Secretary of State for filing. The document must be typewritten or printed, and must be in the English language.

What is the filing fee for Missouri for-profit corporations?

The filing fee for domestic for-profit corporations varies, based on the dollar amount of authorized capital. The fee is $50 for the first $30,000 or less of authorized shares, and a further $5 for every additional $10,000 of authorized shares.

Any person, whether or not a member or manager, may form a LLC by signing and filing Articles of Organization with the Secretary of State. The LLC is formed when the Articles are filed, or on such later date as set forth in the Articles, not to exceed 90 days from the filing date. If the Articles of Organization do not substantially conform to the filing provisions of Sections 347.010 to 347.187, the Secretary shall return the Articles with a statement setting out the nonconformity.

Each copy of the Articles of Organization stamped "filed" and marked with the filing date is conclusive evidence that all conditions precedent have been complied with and that the LLC has been legally organized and formed.
