What are the requirements for incorporating a for-profit corporation in the State of North Dakota?
The name must be in the English language or in any other language expressed in English letters or characters, and must contain the word Company, Corporation, Incorporated, Limited or an abbreviation of one or more of these words. The name may NOT contain the words Limited Liability Company, Limited Partnership, Limited Liability Partnership, Limited Liability Limited Partnership, or any abbreviation of these words. The name may not contain a word or phrase that indicates that the corporation is incorporated for a purpose other than a lawful business purchase for which a corporation may be incorporated under State law, or a purpose stated in its Articles of Incorporation. The name may not be the same as or deceptively similar to, the name of any corporation, limited liability company, limited partnership, limited liability limited partnership, trade name, or a name that is in any manner reserved with the Secretary of State. Articles of Incorporation containing the information required by law must be filed with the Secretary of State. What is the filing fee for North Dakota for-profit corporations? The filing fee is $30, plus $10 for the Registered Agent Consent to Serve, plus license fees (minimum of $50) based on the authorized shares of the Corporation. License fees equal $10 for every additional $10,000 in excess of $50,000. License fees are calculated by multiplying the number of authorized shares by the par value. If shares are authorized without par value, multiply the authorized shares by $1. Checks must be payable to the Secretary of State, and must be for US negotiable funds. These words are reserved by law for the exclusive use of national and state banking corporations and the Bank of North Dakota. The articles of organization of a limited liability company have a long-term retention period in the office of the Secretary of State. For that reason, it is preferred that the Articles be prepared on white paper and that they be typed in black ink. The Articles must be dated and signed by all organizers.
