A letter of intent (or LOI) is used during the course of negotiations for various purposes, such as:
  • to ensure that both parties have the same understanding of the agreement,
  • to secure financing from banks or investors by demonstrating that the parties are serious about completing the project or transaction,
  • to secure a position or a scholarship in a university or graduate school,
  • to commence work on a project prior to a formal contract being signed.
An LOI is an 'agreement to agree' or an agreement to have further negotiations, with the intention of entering into a written contract. So a letter of intent is not legally binding in and of itself, although some of its provisions may be legally binding. For instance, there may be confidentiality restrictions on the parties which will survive even after the LOI has expired.
