Letters of intent (also called 'heads of agreement') are a means of clarifying the discussions between the parties during the negotiation process, as well as signifying to lenders, contractors and other outside persons and firms that the parties fully intend to formalise their arrangement in a written contract.

Recently, the English courts have on several occasions determined that a letter of intent in fact constituted an enforceable contract. It is therefore important to state in the LOI that the parties do not intend it to be legally binding, or, alternatively, which provisions are legally binding (such as any confidentiality provisions).
