Indemnity of Resigning Director by Corporation

Use this template to prepare an Indemnity of a Resigning Director, which would be given by a corporation and its shareholders.

The corporation and the shareholders will indemnify and hold the director harmless against any claims, losses or damages arising as a result of him/her acting as a director of the corporation, and in respect of any actions brought by the corporation to which the director would be a party by reason of having been a director.
