Transfer Agent and Registrar Agreement (Canada)

Use this template to prepare a Transfer Agent & Registrar Agreement for Canada, between the issuer of certain securities pursuant to a preliminary prospectus and a trust company being appointed by the issuer to act as transfer agent and registrar of the securities. Provisions of the agreement include:

• The agent is also appointed as dividend disbursement agent, to distribute dividends to the shareholders.
• The agent will record all issuances, sales and transfers of shares, will issue all certificates, and keep up-to-date shareholder registers.
• The issuer indemnifies the agent against all claims and losses arising in connection with its performance under the agreement except for instances of negligence, misconduct or bad faith.
• Provisions for termination by either party, with or without cause.
