Canada Transfer Agent and Registrar Agreement

Appoint a trust company as transfer agent and registrar of securities being issued under a preliminary prospectus with this template form for Canadian issuers.

• Dividends. The transfer agent is also appointed as dividend disbursement agent, to distribute dividends to the shareholders.
• Duties of Transfer Agent. The transfer agent will record all new share issuances and sales and transfers of shares, will issue all certificates, and keep up-to-date shareholder registers.
• Indemnification. The issuer indemnifies the transfer agent against all claims and losses arising in connection with its performance under the agreement except for instances of negligence, misconduct or bad faith.
• Termination. Provisions for termination by either party, with or without cause.
