Technical Advisory Services Agreement

Use this template to prepare a Technical Advisory Services Agreement between a company wishing to set up an advisory board of various technical experts, and an individual who has consented to act on the board. Provisions of the agreement include:

• The advisor will provide business, financial, technical, and / or scientific advice to the company.
• The advisor will be compensated with stock options and reimbursed for out-of-pocket expenses incurred during the performance of his / her duties.
• The advisor agrees to keep all proprietary information of the company confidential, and not to disclose or use any of it except as required in the performance of his / her duties.
