Exclusive Right of Supply Agreement

The buyer engages the manufacturer (seller) to manufacture and supply certain products, and to act as exclusive supplier of these products. Provisions of the Agreement include:

• Prices on finished products will be determined by the quantity in each order which are delivered to and accepted by buyer.
• Seller may change its prices based on any increase or decrease in the costs of its raw materials.
• Seller may also increase item prices or decrease any quantity or cash discount, upon appropriate written notice to buyer, and buyer has the right to reject any such change by terminating the agreement.
• Seller may increase any item price to reflect any new or increased tax, levy or duty.
• Buyer must provide seller with a regular written forecast of its requirements, and must place orders sufficiently in advance of shipment dates to allow seller to complete the orders.
