The distributor / dealer has exclusive rights to distribute the manufacturer's products outside of Canada and non-exclusive distribution rights within Canada.
The manufacturer has the right to terminate the Agreement if the distributor / dealer does not meet specified minimum purchase requirements.
The distributor / dealer cannot appoint sub-distributors.
The distributor / dealer is responsible for cost of all marketing, packaging, promotion, etc within its assigned territory.
