Set-Off and Cancellation of Shares Agreement (USA)

Use this template to prepare an Agreement for Set-off and Cancellation of Shares between two affiliated USA companies, with respect to the share purchase and set-off of the purchase price against the redemption of shares of stock held by a purchaser (buyer) in a corporation (seller).

The purchaser has paid for the shares of stock by way of a promissory note. The seller has redeemed the shares and is paying the redemption price also by way of promissory note. The two notes are for the same amount.
