Consulting Services Agreement (China)

• The agreement is between a company registered in China and a foreign company which will provide business consulting services.
• The consultant will be paid a fixed consulting fee, to be paid upon receipt by the customer of the consultant's invoice.
• The consultant agrees not to disclose any of the customer's confidential information, and to return or, alternatively, to destroy all of such information upon termination of the Agreement.
• If a party breaches the Agreement, it is liable for compensatory damages to the other party.
• The parties agree to binding arbitration in the event of a dispute.
• The customer has ownership of any intellectual property arising out of the performance of the Agreement.
