Scotland Manufacturing Agreement

• Exclusivity. The manufacturer is appointed as the exclusive European manufacturer of the customer's products.
• Sourcing of Materials. The manufacturer will source and procure all materials required for the manufacture of the products, and will only use suppliers approved by the customer for such materials.

• Reporting. The manufacturer must provide the customer a monthly inventory summary review of all materials.
• Taxes and Insurance. The customer is responsible for paying all value added tax, costs of shipping, and product liability insurance premiums. The manufacturer is responsible for maintaining insurance for liability, fire and theft (catastrophic loss).
• Mutual confidentiality and indemnity clauses.
