• The purchaser will remit royalty payments to the seller on a regular basis (e.g. monthly). Royalties will be based on the monthly revenues of sales and licensing of the software.
• The seller represents and warrants that it is the sole owner of the software and that it has taken all necessary steps to protect and preserve its ownership and proprietary rights.
• The seller also represents and warrants that the software operates properly and is free from material defects.
• The seller warrants that title to the software will transfer to the purchaser free and clear of any liens, charges, or security interests.
• The source code will be made available for the purpose of making upgrades and modifications to the software, and providing service and support to customers.
