Use this template to create an Acquisition Agreement for Co-Ownership Rights for use in the United States, between a software developer (vendor) and an investor (purchaser) who wishes to acquire a percentage co-ownership right in the vendor software in return for its investment in the project. Provisions include:

• purchaser also purchases the patent rights;
  
• each party retains all rights to its own subsequent modifications to the software;
  
• non-competition covenant by purchaser;
