Use this template to prepare a Business Consultation Agreement between a Canadian employment agency, which has subcontracted for the Canadian rights to an employee's services, and an operating company, which wants to contract for the employee's services, as part of a deferred compensation structure pursuant to the Income Tax Act (Canada) and Regulations. Provisions of the agreement include:

• The agency is not subject to any minimum performance requirements under the agreement.
  
• The agency supplies the employee to provide his/her expert services in order to promote the company's business.
  
• The company will pay the agency a stated annual fee per fiscal year, prorated for any portion of a fiscal year during the term of the agreement.
  
• The company will also pay the agency a performance fee, calculated as a percentage of the company's gross income.
  
• Provisions for either party to terminate the agreement.
