Use this template to prepare an Equipment Co-Owners Agreement for use in Canada, between two or more parties purchasing certain equipment, which will form the assets of an equipment leasing joint venture. Provisions of the agreement include:

• one of the parties will act as the manager of the joint venture;
  
• constitution of the joint venture;
  
• management and accountability of managing venturer to the other venturers;
  
• right of first refusal for the remaining venturers to purchase the interest of a departing venturer;
  
• default by any party;
  
• winding up the venture.
