Use this template to prepare a Confidential Information Exchange Agreement for Canada, between an inventor who has developed an invention and a party who is interested in developing, financing, marketing or otherwise dealing with the invention in a mutually beneficial manner. Key points of the agreement include:

• The interested party agrees not to disclose any confidential information provided by the Inventor, and to use the confidential information solely to evaluate the opportunity and possibilities for the invention.
  
• The interested party will store all confidential information in a safe and secure place.
  
• The interested party also agrees not to remove or interfere with any proprietary rights notices placed by the Inventor.
  
• The interested party agrees not to develop, manufacture or reverse engineer the invention.
