Use this template to prepare a Confidentiality Agreement for the United States, between a distributor and a customer who plan to enter into an arrangement whereby the distributor will arrange for the manufacture of specific products for select clients of the customer. Provisions include:

• Distributor agrees not to disclose any confidential information provided by the customer regarding either its own business or that of its clients.
  
• Each party agrees not to solicit staff or customers of the other party.
  
• Neither party is construed to be the agent, partner or co-venturer of the other.
