Use this template to prepare a Consulting Agreement for use in Canada, between a client and an independent contractor that develops computer software for the engineering profession. Provisions of the agreement include:

• The contractor is not subject to supervision by or instructions from the client;
  
• The contractor indemnifies the client against claims by Canada Customs and Revenue Agency (Revenue Canada) for employee deductions, and against claims for damages, loss or injury caused by the contractors employees;
  
• The contractor and its employees are bound by confidentiality and nondisclosure provisions;
  
• The client is the sole owner of all deliverables under the contract;
  
• The contractor will not solicit staff or customers of the client;
  
• The contractor provides no warranty of the deliverables;
  
• The client is not to use the deliverables if damage or injury may result, and the contractor assumes no risk or liability for same.
