Use this template to prepare a Share Escrow Agreement which forms part of a share purchase and sale transaction. Under the terms of the escrow, the purchaser agrees to deposit the shares with the trustee until the full amount of the purchase price has been paid to the seller. Provisions include:

• any dividends declared will be paid to the purchaser while the shares are in escrow;
  
• actions to be taken by trustee in the event of a dispute;
  
• trustee is to act as depositary only, and has no liability other than for gross negligence or default;
  
• the other parties indemnify the trustee against claims or damages;
  
• the trustee will hold the shares until receipt of a joint order from the other parties.
