Use this template to prepare a Form 45-103F1 Offering Memorandum for non-qualifying issuers (as that term is described in Multilateral Instrument 45-102, Resale of Securities) in Canada. A non-qualifying issuer is an issuer which has not filed a current AIF, regardless of whether or not its securities are listed on a Canadian exchange. The document contains:

• examples of how to complete each section;
  
• a full set of instructions;
  
• a Risk Acknowledgement Form (Form 45-103F3).
