Ontario employers, use this template Independent Contractor Agreement to retain an individual to work with your company as an independent contractor, instead of being hired as an employee by the company. Provisions of the Letter of Agreement include:

• The independent contractor is responsible for remitting his/her own income tax, payroll deductions, GST, and other taxes or charges required by law or regulation.


• The retainer is non-exclusive. The contractor may perform similar services for other clients, and the employer may retain other contractors to provide the same or similar services.


• The contractor will pay all of his/her own expenses, including transportation and meal expenses.


• The contractor bears his/her own risk of profit and loss with respect to the services performed.


• The contractor agrees not to disclose or use any confidential information of the employer.

This Ontario Independent Contractor Agreement is available as a Microsoft Word file. It includes a Business Protection Agreement with nondisclosure, non-competition and non-solicitation clauses, to be agreed to by the contractor prior to commencing work.
