The venture capitalist (lender) has provided a client seeking financing with information regarding potential investors with whom the lender has established business relationships. The intent of the Agreement is to protect the lender's commissions with respect to future transactions negotiated between the client and any of the contacts provided by the lender.

The client agrees not to consummate any transactions with any of the potential investors unless the client reasonably compensates the lender for providing the contact. The client also agrees to keep all investor information confidential.
