- Prices do not include shipping, insurance, taxes, import duties, or other charges, which must be paid by Customer.
- Supplier retains title to the products until the applicable invoices are paid in full.
- Supplier will transfer any transferable warranties to Customer.
- Customer indemnifies Supplier against any claims or actions with respect to the use of the products.
- Both parties agree not to disclose the other party's confidential or proprietary information.

- Customer agrees to comply with all export and import control laws in respect of the products.
- The parties agree to submit to binding arbitration in the event of a dispute.
