Use this template to prepare a Sweat Equity Agreement for the Province of Ontario, Canada, under which a potential investor offers to provide services to a company in exchange for an option to purchase shares in the company. Provisions of the agreement include:

• The investor will not be paid any fees for the services but will be entitled to claim pre-approved expenses.
  
• The option will vest after the services have been fully performed, provided the investor is not in default under the agreement.
  
• Upon purchase of the shares, the investor will become a party to the company's shareholder agreement.
