Technical Collaboration Agreement (India)

Use this comprehensive template to prepare a Technical Collaboration Agreement between an Indian company (Indiaco) and a foreign manufacturing company (Foreignco) which is opening a plant in India.

• Foreignco will provide Indiaco with technical know-how, including engineering and technical know-how, data, assistance, drawings, designs, inventions, processes, manufacturing skill, and other technical information, in order to build or acquire a manufacturing plant, procure machinery and other items, select raw materials, and assemble and manufacture the products.
• Indiaco is responsible for procuring patents on its own inventions and improvements, and Foreignco will have the right to use those inventions and improvements in other countries outside India.
• All taxes payable on amounts paid to Foreignco by Indiaco will be paid by Foreignco.
• Foreignco guarantees that the technical know-how will enable Indiaco to successfully manufacture the products, if the operating instructions and guidance given are followed.
