Assignment of Technology Agreement

Use this template to prepare a Technology Assignment Agreement under which a developer of certain technology (the assignor) assigns all of its rights, title and interest in and to the technology and associated intellectual property, including moral rights, to a company (the assignee) in exchange for shares in the company. The assignor agrees not to disclose any information about the technology or intellectual property to third parties.
