Purpose of Assignment Agreement

The original franchisee (assignor) assigns its interest under the Franchise Agreement to a new franchisee (assignee). The assignor and assignee jointly and severally agree to pay any outstanding amounts owing by the assignor to the franchisor.

Franchisor's Consent Not Waiver

The franchisor must give its written consent in order for the assignment to be valid. However, this consent does not constitute a waiver of the requirement for written consent in any subsequent assignment.

Transfer Fees

If the assignor owns a majority of the shares of the assignee company, the transfer fees required under the Franchise Agreement will be waived, but the assignor and assignee agree to pay the franchisor's legal costs in relation to the assignment.
