When would I need this Letter of Intent?
When buying a large real estate property for development, there is work that needs to be done or financing that needs to be in place before the transaction is complete. That's when you should put a letter of intent (LOI) in place.
The Letter of Intent indicates to the seller, the lender, contractors and suppliers that you are committed to complete the deal. The LOI outlines the conditions that the buyer and seller have negotiated and are willing to put in writing.
Conditional Purchase
The purchase would be conditional upon the buyer obtaining sufficient mortgage financing to cover the purchase price of the property.

Manitoba FSBO Real Estate Contract
This Manitoba FSBO (For Sale by Owner) Real Estate Offer to Purchase is used when the owner is selling the property directly to a purchaser, without going through a realtor.
- Items Included. The purchase price for the property includes fixtures and fittings, carpets, window coverings, and any goods and chattels agreed to between the parties.
- Acceptance. Once the offer is accepted and signed by the parties, it becomes a legally binding purchase and sale contract.
- Payment of Purchase Price. The balance of the purchase price will be paid either through the buyer assuming the existing mortgage, or by a new mortgage.
- Conditions. The transaction is conditional upon the buyer being able to obtain adequate mortgage financing (if a new mortgage is being placed on the property).
Manitoba GST Exemption Certificate for Sale of Real Property
- The seller certifies that the real estate in question is a residential property being resold within the meaning of the Excise Tax Act and that the seller has not claimed an input tax credit.
- Resales of residential property in Canada are exempt from GST. This form is only for resold property and cannot be used for new construction.
Manitoba Offer to Purchase Commercial Real Estate
The purchase price will include all buildings and improvements, fixtures, fittings, systems, machinery and equipment installed on the property.
The offer is conditional upon:
- a satisfactory review by the purchaser of title, zoning approvals, costs, environmental conditions,
- the purchaser being satisfied with the feasibility of its plan for the land,
- finalization of the purchaser's development plans,
- the purchaser being able to obtain adequate financing,
- the parties executing a development agreement for the property by a date specified in the Offer.
