• Licence to Use. The purchaser (licensor) of the intellectual property grants a royalty-free, non-transferable, non-exclusive licence back to the seller (licensee) to use the property for specific business purposes.
• Confidentiality. The licensee agrees not to disclose information about the intellectual property or or make it available to third parties unless the licensor consents, and agrees to ensure that any such third parties agree in writing to comply with the terms of the licence agreement.
• Infringement Claims. In the event of an infringement claim by a third party, the parties shall mutually decide whether to take steps to defend the claim or render the intellectual property non-infringing.
• Governing Law. This Intellectual Property Licence Agreement is governed by the laws of New Zealand.
